We advise and participate in buyout transactions with managers (management buy-out and management buy-in), as well as in leveraged deals on majority or 100% equity stakes.
Mergers & Acquisitions
We advise and coordinate M&A transactions, providing complex range of services – from identifying potential parties, through valuation, due diligence, preparing transaction documentation (incl. SPA with appendices) up to final formal closing steps.
Equity financing
We advise companies with above-average growth potential on raising funds from sources like high-net worth individuals, business angels, seed funds, venture capital funds, private equity firms, pension funds, mutual funds, asset management firms. Our services cover entire process: form assessing potential for growth and capital needs, through preparing valuation and investment documentation, assistance in negotiations, term-sheet/investment agreement review. We also provide post-transaction controlling & monitoring support focused on meeting goals set up with investor during the transaction.
Debt financing
We organise debt financing through corporate bonds issue, loans from investors, bank loans or mezzanine capital. Each transaction is preceded by detailed credit risk evaluation and assessment of business rationale for (additional) debt.
Financial advisor in IPO
Based on our extensive experience (participated in seventeen successful IPOs in 2009 – 2014), we act as a financial advisor to the board and shareholders, providing complex coverage of the IPO process, including key areas:
